Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") are an agreement between you and Thuja LLC, a New Jersey limited liability company ("Thuja", "we", "us"). By creating an account, ticking the consent box at signup, or using the service, you agree to these Terms and to our Privacy Policy. If you are using Thuja on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to it.

2. Description of the service

Thuja is a decision-intelligence platform. You connect or upload research sources — documents, survey exports, transcripts — and the product extracts evidence and generates decision briefs with citations back to your source material.

3. Beta status

Thuja is currently offered as a private beta. Features may change, be suspended, or be withdrawn at any time, and functionality available during the beta may differ from what is offered in any general release. We may limit access, impose usage quotas, or end the beta period at our discretion.

4. Account registration and eligibility

You must provide accurate registration information (including your email, name, and company) and keep it current. You are responsible for all activity under your account and for keeping your credentials secure. Authentication is by email and password or magic link, and signup is protected by Cloudflare Turnstile. You must be at least 18 years old to use Thuja.

5. Acceptable use

You agree not to:

• upload content you do not have the right to use or that infringes the rights of others;
• use the service to violate any law, or to store or transmit malicious code;
• attempt to probe, breach, or circumvent security or authentication measures, or access data belonging to other customers;
• resell, sublicense, or provide the service to third parties except as permitted by your plan;
• use automated means to access the service other than through interfaces we provide.

6. Your content and the license you grant us

You retain ownership of everything you upload. Your source files, data, and the material derived from them remain yours. You grant Thuja a limited, non-exclusive license to host, process, transmit, and display your content solely to provide and support the service — including transmitting content to the sub-processors listed in our Privacy Policy for processing on our behalf. This license ends when the content is deleted from the service.

7. AI-generated output

Thuja's output is decision support — it is not professional, legal, financial, medical, or other regulated advice, and it is not a substitute for your own judgment. You are responsible for verifying output against the cited sources before relying on it for any decision.

8. Subscriptions, trials, billing, and cancellation

Paid plans are billed as subscriptions through Stripe, our payment processor. Thuja never receives or stores your card number. Where a free trial is offered, you can use the applicable plan during the trial period; when a trial converts to a paid subscription, you will be billed on the plan you selected. Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and amounts already paid are non-refundable except where required by law.

9. Intellectual property in the platform

The Thuja platform — its software, design, branding, and everything in the service other than your content — is owned by Thuja LLC or its licensors and is protected by intellectual-property laws. These Terms grant you no rights in the platform other than the right to use the service while your account is in good standing.

10. Disclaimer of warranties

The service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that output will be accurate or complete.

11. Limitation of liability

To the maximum extent permitted by law, Thuja will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to these Terms or the service. To the maximum extent permitted by law, Thuja's total liability for all claims arising out of or related to the service will not exceed the amounts you paid to Thuja for the service in the twelve months before the event giving rise to the claim.

12. Indemnification

You will indemnify and hold harmless Thuja and its officers, members, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the service in violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the service and request account deletion at any time by emailing hello@jointhuja.com. We may suspend or terminate your access if you materially breach these Terms, if required by law, or upon the conclusion of the beta program. Sections that by their nature should survive termination (including Sections 9–14) survive.

14. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The state and federal courts located in New Jersey will have exclusive jurisdiction over disputes arising out of these Terms, and each party consents to their jurisdiction.

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you — for example by email or an in-product notice — before the changes take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
